These Terms of Service (the “Terms”) govern your access to and use of Local Flow, including our website, mobile applications, and related services (collectively, the “Service”). The Service is provided by Local-Flow App LLC, a Utah limited liability company, 14153 S Lasso CT, Draper, UT 84020 (“Local Flow,” “we,” “us”).
By creating an account, accessing the Service, or clicking to accept, you agree to these Terms. If you accept on behalf of a business, you represent that you have authority to bind that business, and “you” means that business. If you do not agree, do not use the Service.
The following are incorporated into and form part of these Terms: the Privacy Policy, Acceptable Use Policy, Subscription, Cancellation & Refund Policy, SMS & Customer Communication Policy, Photo & Media Policy, Data & Account Deletion Policy, Cookie & Tracking Notice, and Third-Party Financing Policy.
Section 23 contains a binding arbitration agreement and a class action waiver that affect your legal rights. Please read it.
You must be at least 18 years old and able to form a binding contract. The Service is intended for business use by service businesses and their owners, managers, and employees. It is not intended for children or for personal household use.
You may not use the Service if we have previously terminated your account for cause, or if doing so would be prohibited by law.
You are responsible for keeping credentials secure and for all activity under your account. Roles may include owner, admin, and employee, and features and customer information may be restricted by role.
You must notify us promptly of any unauthorized access or security issue. You may not share credentials with unauthorized people, or bypass access controls, session limits, or security features.
Where you invite team members, you are responsible for their use of the Service, for the permissions you grant them, and for removing access when it should end.
Paid plans, renewals, cancellation, refunds, and failed payments are governed by the Subscription, Cancellation & Refund Policy.
Fees. Fees are stated at the time of purchase and are charged in advance for each billing period. Unless stated otherwise, subscriptions renew automatically until cancelled.
Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes, other than taxes on our net income. Where we are required to collect a tax, it will be added to your charge.
Price changes. We may change pricing prospectively. For a change affecting your current plan, we will give at least 30 days’ notice before it applies to you, and you may cancel before it takes effect.
Non-payment. If a payment fails, we may retry it, and we may suspend the account after notice and a reasonable opportunity to cure. Suspension for non-payment does not delete your data; see Section 19.
Disputes about a charge should be raised with us within 60 days of the charge. Charges not disputed within that period are treated as accepted, to the extent the law allows.
Trials. We may offer a free trial. If a trial does not require a payment method, you will not be charged unless you choose a paid plan. Trial length, features, and availability may vary, and we may limit trials to one per business.
Beta features. We may label features as beta, preview, early access, or experimental. Beta features are provided “as is,” may be changed or withdrawn at any time, may not work as documented, and are excluded from any support commitment and from the limited warranties, if any, elsewhere in these Terms. Do not rely on a beta feature for anything you cannot afford to have change.
Subject to these Terms and to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your own internal business operations during your subscription.
You may not, and may not permit anyone else to: copy, modify, or create derivative works of the Service; resell, rent, lease, sublicense, or provide the Service to a third party as a service bureau; reverse engineer, decompile, or attempt to derive source code except where that restriction is unenforceable by law; scrape, crawl, or extract data by automated means except through an interface we provide for that purpose; probe, scan, or test the vulnerability of the Service without our written permission; interfere with or place undue load on the Service; remove or obscure proprietary notices; or use the Service to build a competing product.
The Service, including its software, design, interfaces, text, graphics, logos, and the Local Flow name and marks, is owned by Local Flow and its licensors and is protected by intellectual property law. Except for the limited right in Section 6, no rights are granted to you, by implication or otherwise.
Nothing here transfers ownership of your data to us — see Section 9. Likewise, nothing transfers ownership of the Service to you.
We may use aggregated and de-identified data derived from use of the Service to operate, secure, analyze, and improve it, provided the result does not identify you, your business, or your customers.
If you send us suggestions, ideas, feature requests, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction and without obligation to you. We would rather hear your ideas than have you withhold them, and this clause exists so that neither of us has to worry about it later. You are not required to give feedback.
You own your data. You retain all rights in the business information, customer records, job notes, photos, invoices, messages, and other content you or your users submit to the Service (“Customer Data”).
You grant us a worldwide, non-exclusive licence to host, store, process, transmit, display, back up, and otherwise use Customer Data solely to provide, secure, support, and maintain the Service for you, and as otherwise permitted by the Privacy Policy. We do not use Customer Data for our own purposes, do not sell it, do not use it for advertising, and do not use it to train artificial-intelligence models.
You are responsible for the accuracy and legality of Customer Data, and for having the rights, notices, and consents needed for us to process it on your behalf.
Export. While your account is active you may export your data using the export features in the Service. Following termination, see Section 19.
Our handling of information is described in the Privacy Policy. In short: for information about your business and your users we act as a controller; for the records you keep about your own customers we act as a processor and service provider, acting on your instructions.
We will maintain reasonable administrative, technical, and organizational safeguards, will require our subprocessors to protect information to a comparable standard, and will notify you of a security incident affecting your data without undue delay.
If you are subject to the GDPR, the UK GDPR, or a US state privacy law requiring a data processing addendum, contact us and we will provide one to sign.
The Service can send text messages and emails to your customers on your instruction — reminders, quotes, receipts, review requests, and similar.
You decide the content and the recipients, and you are responsible for the legality of every message sent from your account, including consent, sender identification, opt-out handling, quiet hours, and anti-spam requirements under the TCPA, CAN-SPAM, state law, and carrier rules. See the SMS & Customer Communication Policy.
You must honor opt-outs. You may not use the Service to send spam, harassment, deceptive messages, or messages to people who have not authorized your business to contact them. We may block, delay, or limit messaging that appears to violate law, carrier rules, or our policies, and may do so without notice where necessary.
The Service integrates with third-party providers, which may include payment processors, authentication providers, messaging providers, mapping providers, hosting providers, artificial-intelligence providers, and app-store platforms.
Those services are governed by their own terms and privacy notices. We are not responsible for third-party services we do not control, for their availability, or for their acts or omissions. Your use of a connected service may require you to have your own account and agreement with that provider.
Payment processing is handled by our processors. We do not store full payment-card numbers. Consumer financing offered by a business to its customers is covered by the Third-Party Financing Policy; Local Flow is not a lender and receives no compensation from any finance company.
You are responsible for photos, files, messages, notes, and other content uploaded or generated through the Service, and for having the right to upload it.
You must not upload content that infringes intellectual property or privacy rights, breaches a confidentiality obligation, or violates law. Additional rules are in the Photo & Media Policy.
We may remove content that we reasonably believe violates these Terms or the law, and will tell you when we do unless prohibited.
Local Flow provides software. It does not provide legal, tax, accounting, employment, insurance, licensing, or other professional advice, and nothing in the Service should be relied on as such.
Estimates, suggestions, scores, drafts, and recommendations generated by the Service — including scheduling suggestions, pricing suggestions, draft quotes, and route or profitability figures — are informational only and are produced from the information available to the Service. They may be wrong. A person at your business is responsible for reviewing them before acting. We do not guarantee revenue, retention, profitability, accuracy, or any business outcome.
Local Flow is a tool you use to run your business. You decide how your business operates. We do not, and we are not responsible for how you operate it.
We are not a party to, and take no responsibility for, any of the following, all of which are yours:
Features that help you record, calculate, or present these things are conveniences, not endorsements or verification. Showing a warranty, a payment plan, a fee, a tax amount, or a total inside Local Flow does not make that figure correct, does not make us a party to the arrangement, and does not move any obligation from you to us. Amounts you enter or configure are yours, and you are responsible for their accuracy.
Your relationship with your customers is between you and them. Any dispute about the work, the price, a warranty, a payment, or a financing agreement is between you and your customer, or between your customer and the relevant third party.
You are responsible for your own compliance with the laws that apply to your business. We do not supervise, review, approve, or audit your operations, and nothing in the Service is legal, tax, accounting, insurance, or licensing advice.
You must comply with the Acceptable Use Policy. We may suspend or terminate access where we reasonably believe your use creates security, legal, customer-safety, spam, fraud, or platform-integrity risk.
We work to keep the Service reliable but do not guarantee that it will be uninterrupted, error-free, or available at all times. We do not currently offer a contractual uptime commitment or service-level agreement.
Support is provided by email at Support@local-flow.app during normal business hours. We aim to respond promptly but do not commit to a response time unless separately agreed in writing.
We may update, modify, suspend, or discontinue features at any time. Where we discontinue a material feature you actively use, we will give reasonable advance notice where practical. We may also perform maintenance that makes the Service temporarily unavailable, and will try to schedule it to minimize disruption.
Each party may receive non-public information from the other. The receiving party will protect it with at least reasonable care, use it only for purposes of the Service, and disclose it only to people who need it and are bound by comparable obligations.
These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known without a duty of confidence, is independently developed, or is lawfully received from a third party. A party may disclose confidential information where legally compelled, after giving notice where permitted so the other party can seek protection.
By you. You may cancel at any time under the Subscription, Cancellation & Refund Policy, or delete your account under the Data & Account Deletion Policy. Cancelling stops future billing; deleting removes data.
By us. We may suspend or terminate access if you breach these Terms, fail to pay, create security or legal risk, or misuse the Service. Except where the risk requires immediate action, we will give notice and a reasonable chance to fix the problem first.
After termination. Your right to use the Service ends. For 30 days after termination you may contact us to request an export of your data, unless we terminated for a reason that makes that inappropriate or the law prevents it. After that period we may delete it in the ordinary course. Sections that by their nature should survive — ownership, confidentiality, disclaimers, limitation of liability, indemnification, arbitration, and general provisions — survive termination.
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory. We specifically disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Service will meet your requirements, operate without interruption, be secure against every attack, or that defects will be corrected. Beta features carry no warranty at all.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you, and you may have rights that these Terms cannot limit.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, or business interruption, even if advised of the possibility.
Our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or $100.
These limits do not apply to liability that cannot be limited by law, and do not limit your obligation to pay fees owed or your indemnification obligations in Section 22.
You acknowledge that these limits are a fundamental basis of the bargain and that our pricing reflects them.
You will defend, indemnify, and hold harmless Local Flow and its members, officers, employees, and agents from any third-party claim, and any resulting loss, liability, damage, cost, or reasonable legal fee, arising from: your Customer Data; messages sent from your account; your business operations, work performed, pricing, warranties, or financing arrangements; your breach of these Terms; or your violation of law or of anyone’s rights.
We will notify you of the claim, allow you to control the defense with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle a claim in a way that imposes an obligation or admission on us without our written consent.
Read this section carefully. It affects how disputes between us are resolved, and it limits your right to go to court and to participate in a class action.
23.1 Informal resolution first. Before starting arbitration, the complaining party must send a written notice describing the dispute and the relief sought to Support@local-flow.app or to our address above. The parties will then try in good faith to resolve it for 60 days. This step is a condition of starting arbitration, and the limitation period is paused while it runs.
23.2 Agreement to arbitrate. If the dispute is not resolved, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section.
23.3 Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop unauthorized access to the Service.
23.4 Class action waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in a class, collective, consolidated, or representative action, and the arbitrator may not consolidate claims or preside over any representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — must proceed in court, and the rest of this section still applies.
23.5 Jury trial waiver. To the extent a matter proceeds in court rather than arbitration, both parties waive any right to a jury trial.
23.6 Location, costs, and procedure. Arbitration will be conducted by a single arbitrator. If you are a business, the seat is Salt Lake County, Utah. Either party may request that the arbitration be conducted by videoconference or on documents alone. Each party bears its own legal fees unless the arbitrator awards otherwise under applicable law. The arbitrator may award any relief a court could award on an individual basis, and the award is final and enforceable in any court of competent jurisdiction.
23.7 Your right to opt out. You may opt out of this arbitration agreement and the class action waiver by emailing Support@local-flow.app with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Include your name, business name, and account email. Opting out affects nothing else in these Terms and will not be held against you in any way.
23.8 Changes. If we materially change this section, the change applies only to disputes arising after its effective date, and you will have a fresh 30-day opportunity to opt out.
23.9 Survival. This section survives termination of these Terms and closure of your account.
These Terms and any dispute arising from them are governed by the laws of the State of Utah, without regard to its conflict-of-law rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
For any matter not subject to arbitration under Section 23, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Salt Lake County, Utah, and waive any objection to that venue. Nothing here deprives a consumer of the protection of mandatory law in their place of residence.
To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one year after the claim arose, or it is permanently barred. This does not apply where the law of your jurisdiction prohibits shortening the limitation period.
These terms apply when you obtain a Local Flow mobile application from an app store, and are required by those platforms.
26.1 Both platforms. These Terms are between you and Local Flow only, not with Apple Inc. or Google LLC. Local Flow, not the platform, is solely responsible for the application and its content. Your use is also subject to the platform’s own terms of service.
26.2 Scope of licence. The licence in Section 6 is limited to a non-transferable licence to use the application on any Apple-branded device you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms, or on any Android device you own or control, as applicable.
26.3 Maintenance and support. Local Flow is solely responsible for providing any maintenance and support for the application. Apple and Google have no obligation whatsoever to furnish any maintenance or support.
26.4 Warranty. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the application. If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application to you, if any. Apple has no other warranty obligation whatsoever, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Local Flow’s responsibility.
26.5 Product claims. Local Flow, not Apple or Google, is responsible for addressing any claims relating to the application or your use of it, including product liability claims, any claim that the application fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
26.6 Intellectual property claims. If a third party claims the application or your use of it infringes intellectual property rights, Local Flow, not Apple or Google, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
26.7 Legal compliance. You represent that you are not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any US Government list of prohibited or restricted parties.
26.8 Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple has the right, and is deemed to have accepted the right, to enforce these Terms against you as a third-party beneficiary.
26.9 Contact. Questions, complaints, or claims about the application should be directed to Support@local-flow.app.
The Service is subject to US export control and sanctions laws. You may not access or use the Service in violation of them, and you represent that you are not a person or entity with whom US persons are prohibited from dealing, and that you will not make the Service available to any such person.
Consent to electronic communications. You agree to receive communications from us electronically — by email, or by notice posted in the Service — and you agree that electronic communications and records satisfy any legal requirement that a communication be in writing. You may withdraw this consent by closing your account.
Notice to you is effective when sent to the email address on your account or posted in the Service. Keep your contact details current; a notice sent to a stale address still counts.
Notice to us must be sent to Support@local-flow.app and, for legal notices, also to Local-Flow App LLC, 14153 S Lasso CT, Draper, UT 84020.
Entire agreement. These Terms and the policies incorporated in Section 1 are the entire agreement between us about the Service and replace any prior understanding. If a signed written agreement between us conflicts with these Terms, the signed agreement controls.
Assignment. You may not assign or transfer these Terms without our prior written consent, except to a successor of your business that assumes them in full. We may assign them in connection with a merger, acquisition, financing, or sale of assets. Any other attempted assignment is void.
Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, labor dispute, epidemic, government action, utility or internet failure, or the failure of a third-party provider. This does not excuse an obligation to pay amounts owed.
Severability. If a provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the rest remains in effect.
No waiver. A failure to enforce a provision is not a waiver of it, and no waiver is effective unless in writing.
Independent contractors. Nothing here creates a partnership, joint venture, agency, or employment relationship between us.
No third-party beneficiaries, except as stated in Section 26 for Apple.
Publicity. We will not use your business name or logo in marketing without your permission.
Headings are for convenience and do not affect interpretation. “Including” means “including without limitation.”
We may update these Terms. The “Last Updated” date will change, and for material changes we will give notice in the Service, by email, or by another reasonable method at least 30 days before they take effect, except where a change must take effect sooner for legal or security reasons.
Continuing to use the Service after the effective date means you accept the updated Terms. If you do not accept them, stop using the Service and cancel before the effective date. Changes to Section 23 are governed by Section 23.8.
